By accessing and using Proseedor ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Service Access & Use

Proseedor provides a cloud-based lead generation platform that allows users to search for, discover, and export business data from publicly available sources (the "Service"). Upon creating an account and selecting a plan, you are granted a limited, non-exclusive, non-transferable right to access and use the Service in accordance with these terms. You may not:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to scrape, crawl, or extract data from the Service itself using automated means beyond what the Service intentionally provides
• Share, resell, or sublicense access to your account or the lead data obtained through the Service
• Use the Service to send unsolicited communications (spam) or engage in any harassing or abusive practices
• Reverse engineer, decompile, or attempt to derive the source code of the Service
• Interfere with or disrupt the integrity or performance of the Service

3. Disclaimer

The materials on Proseedor are provided on an 'as is' basis. Proseedor makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

4. Limitations

In no event shall Proseedor or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Proseedor, even if Proseedor or an authorized representative has been notified orally or in writing of the possibility of such damage.

5. Accuracy of Materials

The materials appearing on Proseedor could include technical, typographical, or photographic errors. Proseedor does not warrant that any of the materials on Proseedor are accurate, complete, or current. Proseedor may make changes to the materials contained on the Service at any time without notice. However, Proseedor does not commit to updating the materials.

6. Links

Proseedor has not reviewed all of the sites linked to the Service and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Proseedor of the site. Use of any such linked website is at the user's own risk.

7. Modifications

Proseedor may revise these terms of service for the Service at any time without notice. By using this Service, you are agreeing to be bound by the then current version of these terms of service.

8. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the United States, and you irrevocably submit to the exclusive jurisdiction of the courts in that location.

9. User Accounts

If you create an account on Proseedor, you are responsible for:

• Maintaining the confidentiality of your account information and password
• Accepting responsibility for all activities that occur under your account
• Ensuring that the information you provide is accurate and complete
• Immediately notifying us of any unauthorized use of your account

10. Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Harass, threaten, demean, or intimidate others
• Attempt to gain unauthorized access to the Service or related systems
• Upload or transmit viruses or malicious code
• Engage in spam or unsolicited commercial communications
• Violate intellectual property rights of others

11. Billing & Subscriptions

Paid subscriptions (Silver and Gold plans) are billed on a recurring basis. By subscribing, you authorize us to charge the applicable fees to your provided payment method. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods except as described in our Refund Policy.

• Subscription fees are non-refundable except as expressly stated in our Refund Policy.
• We reserve the right to change our pricing with 30 days notice. Price changes will not affect your current billing period.
• Failure to pay may result in suspension or termination of your account.

12. Refund Policy

Our refund policy applies to paid subscriptions (Silver and Gold plans). The Bronze (free) plan is not charged and therefore not eligible for refunds.

• 7-Day Money-Back Guarantee: You may request a refund within 7 days of your initial subscription purchase, provided you have not used any search credits or generated any leads during that period. A 10% processing fee will be deducted from the refunded amount to cover administrative and payment processing costs.
• No Refunds After Usage: Once any searches (Quick or Global) have been performed or lead data exported, all payments are final and non-refundable.
• Cancellation: You may cancel at any time. Cancellation takes effect at the end of the current billing period. No refunds or pro-rated credits are issued for partial billing periods.

13. Data Compliance

Users are responsible for ensuring their use of Proseedor complies with all applicable data protection laws and regulations, including GDPR, CCPA, and other privacy legislation. Proseedor provides tools to help ensure compliance, but users retain responsibility for their data processing activities.
